These GTC govern all commercial transactions between Cégéa ("the Buyer") and its registered supplier partners ("the Supplier").
These GTC apply exclusively to B2B transactions. All orders are placed by email and confirmed by written purchase order.
Access to Cégéa's purchasing program is subject to prior registration and validation. Cégéa reserves the right to accept or refuse any registration at its sole discretion.
A purchase order is considered confirmed upon written acknowledgment by both parties. Cégéa reserves the right to cancel or modify an order prior to shipment in the event of pricing errors, stock discrepancies, or force majeure.
Prices are agreed upon between the parties on a per-order basis. All invoices must comply with applicable VAT regulations.
Payment terms are agreed per order and specified in the corresponding purchase order.
Unless otherwise specified, delivery terms follow Incoterms as agreed per order. Risk transfers to Cégéa upon delivery at the agreed location.
The Supplier guarantees that all products supplied are authentic, new, legally sourced, and comply with applicable EU regulations.
Nothing in these terms transfers any intellectual property rights between the parties.
These GTC are governed by French law. Any dispute shall be subject to the exclusive jurisdiction of the competent courts of Nantes, France.
Cégéa reserves the right to amend these GTC at any time. The version in force at the time of the order shall apply.
